Forming an LLC isn't your typical run of the mill transaction.  It's a process that relies on state governments to receive, approve, and file your entity.

The unfortunate reality is that many state governments run their entire operations on manual processes and legacy computer systems.  Add in some classic bureaucratic red tape and, well, something that sounds like it should be simple can take a little bit of time.

As such, you are quite justified in wondering how long does it take to get an LLC approved.  The short answer is that it mostly depends on which state you're forming your LLC in.

Most notably, you'll need to decide on who your LLC's registered agent will be, what your principal address will be, and whether your entity will be member managed or manager managed.  From there, you need to prepare your formation document, known in most states as Articles of Organization or a Certificate of Formation.

Arizona

Arizona also has a publication requirement where you must publish a Notice of LLC formation in an approved newspaper within 60 days of creation of the LLC.

Factors that Can Affect How Long it Takes to Form an LLC

For the most part, LLC formation times are fairly consistent within each state.  However, there are some factors that can change the amount of time it takes to form an LLC.

Thorough Completion of Formation Document

You'd be surprised how many people turn an incomplete Certificate of Formation.  Be sure to check that your formation document has been thoroughly completed, with no omissions of required fields.

If you don't provide all of the information your state requires, they will almost certainly reject it and you'll be required to resend your documents.  Be sure to read the instructions carefully when filing your LLC.

The State's Workload

The time to file an LLC can vary depending on how large the stack of paperwork is at the state office.  If you happen to file during a time when not many others are forming legal entities, your application could go through faster.

Alternatively, if you file during a busy time of year or if there is short staffing due to global events (like COVID), the processing time for your LLC could be affected.
